Terms of Service

1. Acceptance of terms

By creating an account or using KinetiqBilling (the "Service"), operated by KinetiqFlow LLC ("KinetiqFlow," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

KinetiqBilling is a billing, invoicing, quoting, payment tracking, and accounts receivable tool for businesses. It provides tools to create and send quotes and invoices, record and track payments, and manage customer billing relationships. We offer a Free plan with usage limits and a paid Pro plan billed monthly.

3. Accounts and organizations

When you sign up, you create an account and an organization workspace. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your organization, including activity by any team members you invite. You agree to provide accurate information when creating an account and to keep it up to date. Each organization's data is isolated from other organizations on the platform.

4. Your data

You retain ownership of the business, customer, and billing data you input into KinetiqBilling — including customers, quotes, invoices, and payment records. By using the Service, you grant KinetiqFlow LLC a limited license to store and process that data solely to provide and improve the Service. We do not sell your business data to third parties. 5. Acceptable use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You may not:

• Attempt to gain unauthorized access to another organization's data.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service to send spam or unsolicited commercial communications.
• Use the Service in any manner that violates applicable laws or regulations.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

6. Subscription fees and billing

Paid subscriptions (currently the Pro plan at $19/month) are billed in advance on a recurring monthly basis through Stripe, our payment processor. By subscribing, you authorize KinetiqFlow LLC to charge your payment method on file for all applicable subscription fees. Subscription fees are charged at the start of each billing period and are generally non-refundable except as described in our Cancellation & Refund Policy. We reserve the right to change pricing with reasonable notice to active subscribers.

7. Third-party payment processors

KinetiqBilling uses Stripe to process subscription payments made to KinetiqFlow LLC. Your use of Stripe's services is subject to Stripe's own terms and privacy policy. We do not store full card numbers on our servers.

KinetiqBilling also provides tools for you to record and track manual payment methods — such as ACH transfers, wire transfers, checks, corporate bill pay, Zelle, Venmo, cash, and other offline payment methods — that your customers may send directly to you. KinetiqBilling is a tracking and record-keeping tool for these payments; we do not process, hold, guarantee, or take responsibility for manual payments exchanged between you and your customers.

8. Service availability

We strive to keep KinetiqBilling available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances outside our control. We are not liable for losses resulting from Service downtime or interruptions.

9. Termination

You may stop using the Service and cancel your subscription at any time. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that harms the Service, other users, or KinetiqFlow LLC. Upon termination, your access to the Service will end and your data may be subject to our standard retention and deletion policies.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

11. Limitation of liability

To the maximum extent permitted by applicable law, KinetiqFlow LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability to you for any claims arising from your use of the Service will not exceed the amount you paid us in the twelve months preceding the claim.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
